Supply, Delivery and Acceptance",[247,38,14,15],"Supply, Delivery and Acceptance",{"html":21},{"html":260},"\u003Cp style=\"color: #505050; font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px;\">2.1    The Supplier must supply the Goods and\u002For perform the Services in accordance with the Contract, Coates' Code of Conduct, all applicable Laws,  industry standards and codes and all reasonable directions of Coates.\u003C\u002Fp>\n\u003Cp style=\"color: #505050; font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px;\">2.2    The Supplier must:\u003C\u002Fp>\n\u003Cp style=\"color: rgb(80, 80, 80); font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px; padding-left: 40px;\">(a)  achieve Completion of the Services by the Date for Completion; and\u2028\u003C\u002Fp>\n\u003Cp style=\"color: rgb(80, 80, 80); font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px; padding-left: 40px;\">(b)  deliver the Goods to the Delivery Point by the Date for Delivery.\u003C\u002Fp>\n\u003Cp style=\"color: #505050; font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px;\">2.3    The Supplier must keep Coates informed at all times regarding its ability to comply with the requirements of this clause 2, including by notifying Coates in writing immediately upon becoming aware of any delay or cause that will or may be likely to contribute to a failure by the Supplier to deliver the Goods by the Date for Delivery or achieve Completion of the Services by the Date for Completion. \u003C\u002Fp>\n\u003Cp style=\"color: #505050; font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px;\">2.4    If the Supplier does not deliver the Goods or perform the Services in accordance with clause 2.2, Coates may cancel the Purchase Order without incurring any cost. \u003C\u002Fp>\n\u003Cp style=\"color: #505050; font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px;\">2.5    The Supplier must notify Coates' representative immediately when it considers the Goods have been delivered and\u002For the Services have been performed and must ensure the Supplier Delivery Document is signed by Coates. Following receipt of the notice, Coates will either:\u003C\u002Fp>\n\u003Cp style=\"color: rgb(80, 80, 80); font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px; padding-left: 40px;\">(a)  acknowledge that the Goods have achieved delivery and the Date of Delivery and\u002For the Services have been completed by the Date of Completion; or\u2028\u003C\u002Fp>\n\u003Cp style=\"color: rgb(80, 80, 80); font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px; padding-left: 40px;\">(b)  notify the Supplier that the Goods and\u002For Services do not meet the requirements of this Contract.\u003C\u002Fp>\n\u003Cp style=\"color: #505050; font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px;\">2.6    Coates acquires title to the Goods and\u002For Services on the earlier to occur of:\u003C\u002Fp>\n\u003Cp style=\"color: rgb(80, 80, 80); font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px; padding-left: 40px;\">(a) when Coates makes the first payment to the Supplier for the Goods and\u002For Services; or\u2028\u003C\u002Fp>\n\u003Cp style=\"color: rgb(80, 80, 80); font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px; padding-left: 40px;\">(b) when the Goods are delivered to Coates, or the Services have been provided to Coates.\u003C\u002Fp>\n\u003Cp style=\"color: #505050; font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px;\">2.7  The Incoterms 2020 (Incoterms) apply to the delivery of the Goods. Subject to any applicable Incoterms set out in the Purchase Order, the risk of loss of or damage to:\u003C\u002Fp>\n\u003Cp style=\"color: rgb(80, 80, 80); font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px; padding-left: 40px;\">(a)  the Goods passes to Coates on the Date of Delivery; or\u2028\u003C\u002Fp>\n\u003Cp style=\"color: rgb(80, 80, 80); font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px; padding-left: 40px;\">(b) the Services passes to Coates on the Date of Completion. \u003C\u002Fp>\n\u003Cp style=\"color: #505050; font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px;\">2.8    The Supplier represents and warrants that the Goods and\u002For Services:\u003C\u002Fp>\n\u003Cp style=\"color: rgb(80, 80, 80); font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px; padding-left: 40px;\">(a)  conform to the descriptions, drawings, samples, and specifications of the Contract;\u003C\u002Fp>\n\u003Cp style=\"color: rgb(80, 80, 80); font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px; padding-left: 40px;\">(b) are fit for the purposes for the purposes for which they are intended, are of merchantable quality, and free from all defects; \u2028 \u003C\u002Fp>\n\u003Cp style=\"color: rgb(80, 80, 80); font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px; padding-left: 40px;\">(c)  are free of all liens and encumbrances and the Supplier has good title to them;\u003C\u002Fp>\n\u003Cp style=\"color: rgb(80, 80, 80); font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px; padding-left: 40px;\">(d)  will not breach any Intellectual Property Rights, and Coates will not have to pay any licence fee, royalty or other amount in connection with the Goods and\u002For Services;\u2028\u003C\u002Fp>\n\u003Cp style=\"color: rgb(80, 80, 80); font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px; padding-left: 40px;\">(e) will strictly comply with all applicable Laws, standards and codes; and\u2028\u003C\u002Fp>\n\u003Cp style=\"color: rgb(80, 80, 80); font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px; padding-left: 40px;\">(f)  will be supplied and performed (i) with the degree of skill, diligence and care expected from an experienced supplier in the relevant trade, industry or profession; and (ii) by Personnel who hold all relevant qualifications, permits and licences. \u003C\u002Fp>\n\u003Cp style=\"color: #505050; font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px;\">2.9    The Supplier acknowledges and agrees that Coates will not be bound by any terms, conditions or restrictions arising from the sale, use, resale or hire of the Goods.\u003C\u002Fp>\n\u003Cp style=\"color: #505050; font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px;\">2.10    The Supplier agrees that it will assign to Coates the benefits and rights of all warranties to which the Supplier is entitled with respect to the Goods and\u002For Services. \u003C\u002Fp>",{"_metadata":262,"Title":266,"SubTitle":267,"Description":268},{"key":263,"displayName":264,"types":265},"f25dcef4c53e401aa2242b269900dcd5","3. The Supplier acknowledges and agrees that the Fee is inclusive of all costs incurred by the Supplier in the supply of the Goods and\u002For performance of the Services.\u003C\u002Fp>\n\u003Cp style=\"color: #505050; font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px;\">3.2    Coates may direct the Supplier to alter, add to or omit all of part of the Goods and\u002For Services. The Fee for such variation will be based on the rates set out in the Purchase Order.\u003C\u002Fp>\n\u003Cp style=\"color: #505050; font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px;\">3.3    Payment made by Coates are on account only and are not:\u003C\u002Fp>\n\u003Cp style=\"color: rgb(80, 80, 80); font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px; padding-left: 40px;\">(a) evidence that the Goods and\u002For Services have been satisfactorily supplied or carried out in accordance with the Contract; or\u2028\u003C\u002Fp>\n\u003Cp style=\"color: rgb(80, 80, 80); font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px; padding-left: 40px;\">(b) an admission of liability or approval by Coates of the Supplier's performance or compliance with the Contract.\u003C\u002Fp>\n\u003Cp style=\"color: #505050; font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px;\">3.4    Coates is not obliged to pay any invoice that does not comply with the requirements of this clause 3.\u003C\u002Fp>\n\u003Cp style=\"color: #505050; font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px;\">3.5    Unless specified in the Purchase Order, the Fee includes all packaging, handling, freight, levies and installation charges, the Supplier's costs and expenses in providing the Goods and Services and all duties, taxes and charges except GST.\u003C\u002Fp>\n\u003Cp style=\"color: #505050; font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px;\">3.6    The Supplier must issue a tax invoice to Coates to \u003Cspan style=\"color: rgb(255, 97, 5);\">accpay@coates.com.au\u003C\u002Fspan> after 5 business days of achieving the Date of Completion and\u002For Date of Delivery. font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px;\">14.2    The Supplier will not assign or novate the Contract or any payment or benefit under it or enter into any subcontract in relation to the supply of the Goods and\u002For Services without the prior written consent of Coates, which may be withheld in its absolute discretion.\u003C\u002Fp>\n\u003Cp style=\"color: #505050; font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px;\">14.3    Coates may assign or novate any or all of its rights and obligations under the Contract with the Supplier’s prior written consent (not to be unreasonably withheld), and the Supplier must promptly execute any documents reasonably required by Coates to give effect to that assignment or novation.\u003C\u002Fp>\n\u003Cp style=\"color: #505050; font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px;\">14.4    Any subcontracting of the Supplier’s obligations or liabilities under the Contract will not relieve the Supplier of those obligations or liabilities and it will remain liable for all acts and omissions of the subcontractor as if they were acts and omissions of the Supplier.\u003C\u002Fp>\n\u003Cp style=\"color: #505050; font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px;\">14.5    The Supplier may not make any public announcement or statement, including on any website or other form of distribution in relation to the Goods and\u002For Services provided to Coates under the Contract or the Contract without the prior written and fully informed consent of Coates.\u003C\u002Fp>\n\u003Cp style=\"color: #505050; font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px;\">14.6    This Contract contains the entire understanding between the parties concerning the subject matter of the Contract and supersedes all prior communications.\u003C\u002Fp>\n\u003Cp style=\"color: #505050; font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px;\">14.7    This Contract cannot be amended or varied except where a new Purchase Order has been issued by Coates in respect of the Goods and\u002For Services provided under this Contract and accepted by the Supplier which will supersede the terms of this Contract.\u003C\u002Fp>\n\u003Cp style=\"color: #505050; font-family: 'Neue Haas Grotesk Display Pro'; font-size: 16px; font-style: normal; font-weight: 500; line-height: 24px;\">14.8    If any term or provision of the Contract are held by a court to be illegal, invalid or unenforceable under the applicable law, that term or provision will be severed from the Contract and the remaining terms and conditions will be unaffected.\u003C\u002Fp>\n\u003Cp style=\"color: #505050; relates to the business affairs and practices of a party or its Related Companies (including financial information, business opportunities, business plans, business processes and methodologies); but does not include information which is in, or comes into, the public domain other than by a breach of this Contract.\u003C\u002Fp>\n\u003Cp style=\"color: #505050;
